[글로벌이코노믹 연구소 김대호 소장] 삼성물산의 제일모직 합병 비율에 문제를 제기한 ISS가 새삼 뉴스의 초점이 되고있다.

ISS는 의결권 행사자문사이다.
기관투자가들을 대상으로 의결권을 어떻게 행사할 지에 관한 조언을 해주고 수수료를 받는 기업이다.

주주총회 안건을 분석해 타당성과 적법성 그리고 경제성 등을 따지는 것이다.

ISS의 영어원문은 Institutional Shareholder Services Inc.

ISS의 실질적인 주인은 Vestar Capital이다.

당초에는 미국의 모건스탠리 캐피털 인터내셔널이 소유하고 있었으나 Vestar Capital이 2014년 인수했다.

일반적으로 전 세계를 무대로 투자하는 글로벌 기관투자가들은 모든 나라의 정보에 정통하기 어렵다.
그래서 ISS와 같은 의결권행사 자문사의 보고서에 많이 의존하게 된다.

헤지펀드와 투자은행 그리고 연·기금, 증권사, 자산운용사, 국부펀드 등이 주 고객이다.

이들은 자신들이 투자한 기업의 주총이나 이사회에서 임원 선임 등 경영 의사를 표시할 때 ISS 보고서를 중요한 근거로 횔용하고 있다.

ISS 보고서는 이를테면 ‘의사결정 지침서’인 셈.

이 같은 글로벌 기관투자자들의 비중이 높아지면서 ISS 보고서는 주총 안건 통과에서 결정적인 영향력을 행사하고 있다.

ISS가 반대의견을 내면 실제 주총에서도 부결될 가능성이 매우 높아지는 것이다.

투자은행, 증권사, 자산운용사, 연·기금 국부펀드 등은 투자한 기업의 주주총회(주총) 등에서 임원 선임 등 경영 의사를 표시할 때 ISS 보고서를 참고해 찬반 여부를 결정하는 경우가 많다.

ISS는 1985년 출범했다.

전 세계 10개국에 16곳의 사무실을 두고 있다. 115개국 3만 9000개의 기관투자가들이 ISS의 유료 회원이다.

ISS가 보고서를 내는 대상 기업의 수는 한해 2만8000개에 달한다.
